Terms of Service

Overview

These terms govern all project-based and retainer engagements with Taxila. By commissioning work, you agree to the following.

We keep things straightforward: clear scope, clear expectations, no surprises. If something isn't covered here, we'll address it in writing before work begins.

How We Work

Project Engagements

Every project starts with a written brief and a defined scope. We provide a fixed quote based on your specific requirements — timeline, milestones, and revision rounds are agreed before we begin. Final files are delivered upon receipt of full payment.

Retainer Engagements

Retainers give you priority access and a dedicated monthly allocation of hours. Billing options and unused-hour policies are specified in your retainer agreement. All retainers require a minimum three-month commitment.

Project Terms

A signed project agreement is required before any work begins. We require a 50% deposit to hold your project slot — work starts once the deposit and all required materials are received.

Standard timelines apply unless otherwise agreed. Rush requests are accommodated where possible and billed accordingly. Revisions beyond the agreed scope are billed at our standard hourly rate.

Retainer Terms

Retainers run on a minimum three-month initial term. To end a retainer, 30 days' written notice is required. Unused hours do not roll over. Overage hours are billed at the agreed rate.

Scope of Work

What's Included

Brand identity, web design, conversion strategy, growth and SEO, digital experience design, marketing assets, social media design, presentation design, and motion graphics.

What's Not Included

Web development or coding, copywriting, photography, video production, complex 3D rendering, mobile app development, and strategic consulting — unless specifically included in a project agreement.

Client Responsibilities

You are responsible for providing a clear project brief, existing brand assets, all content and copy, high-resolution images, and timely feedback within agreed review windows.

Each project requires a single designated point of contact. Feedback on design concepts is expected within three business days. Consolidated, clear revision requests keep projects moving — scattered or contradictory feedback may extend timelines.

Intellectual Property

Upon receipt of final payment, full ownership of all final deliverables transfers to you. Preliminary concepts and rejected directions remain our property. We reserve the right to display completed work in our portfolio unless otherwise agreed in writing.

You are responsible for ensuring you hold the rights to all content, assets, and references you provide. Trademark and copyright clearances are your responsibility.

File Delivery

Final files are delivered in formats specified in your agreement. Source files are included as noted. Additional formats are available upon request and may be subject to additional fees. All files are transferred via secure method.

Revisions

Revision rounds are specified in each project agreement. Minor adjustments within the original scope are included. Changes that alter the direction, structure, or intent of the work constitute a scope change and will be quoted separately. All revision requests should be submitted together — consolidated feedback keeps timelines intact.

Scope Changes

Any changes to agreed scope require written approval before work proceeds. We'll provide a revised quote and timeline before moving forward. The original agreement will be updated in writing to reflect the change.

Payment

Project Payments

Projects require a 50% deposit upon agreement, with the remaining balance due before final delivery. Payment terms are Net 15. Late payments accrue interest at 1.5% per month. Work pauses on overdue accounts until payment is received.

Retainer Payments

Retainer fees are due on the agreed monthly date. Auto-payment is strongly recommended. Late payment results in a pause in service. Overage hours are billed at month-end.

Cancellation & Termination

Projects

You may cancel at any time with written notice. Cancellation fees reflect work completed:

  • Before concept presentation: 25% of total project fee

  • After concept approval: 50% of total project fee

  • After final approval: 100% of total project fee

All completed work transfers to you upon payment of applicable fees.

Retainers

Retainers require 30 days' written notice to terminate. Work already in progress for the current month will be completed. Unused hours are non-refundable. A final invoice will be issued for any overage.

Confidentiality

Both parties agree to keep all proprietary information shared during an engagement strictly confidential. We handle all client materials securely and do not disclose project details without your written authorisation. This obligation continues after the engagement ends. An NDA is available on request.

Liability

Our liability is limited to the fees paid for the specific project or retainer period in question. We are not liable for indirect, incidental, or consequential damages. We make no guarantee of specific business outcomes — our track record speaks for itself, but results depend on factors beyond our control.

You agree to indemnify Taxila against any claims arising from materials, content, or assets you provide.

Dispute Resolution

We prefer to resolve disagreements directly. If direct resolution fails, both parties agree to attempt mediation before pursuing further action. If mediation does not resolve the matter, disputes will be settled through binding arbitration under the laws of the applicable jurisdiction. Each party bears its own legal costs unless determined otherwise in arbitration.

Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control — including natural disasters, infrastructure failures, or other unforeseeable events. Timelines will be extended accordingly, and both parties will act in good faith to minimise disruption.

Modifications

We may update these terms with 30 days' notice to active clients. Project-specific agreements take precedence where terms conflict. Any special arrangements must be confirmed in writing. Continuing to work with us after a change takes effect constitutes acceptance of the updated terms.

Entire Agreement

These Terms of Service, together with any signed project or retainer agreements, constitute the complete agreement between parties and supersede all prior understandings, whether written or verbal.
